1. Agreement to Terms
These Terms of Use (“Terms“) are an agreement between you and CalendarLite, Inc. (“CalendarLite,” “we,” “us,” or “our“) about how you can access and use our website at www.calendarlite.com (together, the “Website“).
We have a lot of services to offer, so please keep that in mind. CalendarLite gives you access to its products and services, such as its online business management software platform and related services for salons, spas, and other beauty and wellness businesses, as long as you agree to the terms of use.
Before you use the Website, please read these Terms carefully.
These Terms are the legally binding rules that apply to your use of the Website. You agree to these Terms by accessing or using the Website. You also promise that you have the right, authority, and ability to agree to these Terms (for yourself or the entity you represent). If you are not at least 18 years old, you cannot access or use the Website or agree to the Terms. Don’t use or access the Website if you don’t agree with all of these Terms.
2. Changes
We can change these Terms at any time for any reason, and we can let you know about these changes in any reasonable way, such as by putting the new version of the Terms on our website. At the end of this document, there is a “Last Updated” legend that tells you when we last made changes to these Terms. You agree to these changes if you access, browse, or use the Website after they have been posted. We suggest that you check this page of the website from time to time to read these Terms.
3. Registration and Accounts
You might have to sign up for an account and give some information about yourself in the account registration form in order to use some parts of the Website. You can only register one person at a time. When you make an account, you agree to (a) give us accurate, up-to-date, and complete account information, (b) keep your account information safe and update it right away if necessary, (c) keep your account credentials safe, (d) be responsible for the actions or inactions of any third party who has permission to access or use the account on your behalf, and (e) let us know right away if you find or suspect any security problems with the Website or your account. You can change your registration information by following the steps on the Website.
You can delete your account whenever you want and for any reason by following the steps on the Website. Section 12, Term and Termination, below says that CalendarLite can suspend or end your account.
4. Getting to the Website
CalendarLite gives you a non-exclusive, non-transferable, revocable, limited license to access and use the Website only for your own personal, non-commercial purposes, as long as you follow these Terms.
You have the following limits on the rights given to you in these Terms: (a) you may not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Website, in whole or in part, or any content displayed on the Website; (b) you may not change, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Website; (c) you may not access the Website to build a similar or competing website, product, or service; and (d) except as expressly stated herein, no part of the Website may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means. These Terms will apply to any future release, update, or other addition to the Website’s functionality, unless otherwise stated. You must keep all copyright and other proprietary notices on the Website (or on any content displayed on the Website) on all copies of it. You agree that CalendarLite will not have to help you or maintain the Website in any way other than what is specifically stated in these Terms.
CalendarLite can change, stop, or end the Website (in whole or in part) at any time, with or without telling you. You agree that CalendarLite will not be responsible to you or anyone else for any changes, suspensions, or shutdowns of the Website or any part of it.
5. Who owns the website
You agree that CalendarLite, its licensors, or other providers of such material own the Website and all of its content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, as well as the design, selection, and arrangement of that content). These materials are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. These Terms (or your access to the Website) do not give you or anyone else any rights, title, or interest in or to such intellectual property rights, except for the limited access rights that are clearly stated in Section 4 above. These Terms do not give CalendarLite or its suppliers any rights that are not already granted.
6. Privacy Statement; Disclosure Required by Law
You can read the CalendarLite Privacy Policy at
https://www.calendarlite.com/privacy/. It explains how we collect, use, store, and share personal information that you give us or that we collect in other ways through the Website.
CalendarLite may share your IP addresses, personal information, User Content, and any other content on the Website with third parties, including law enforcement or other government agencies, if it believes in good faith that such action is necessary to comply with a court order, warrant, administrative order, civil investigative demand, subpoena, or other valid process, or if it decides in its sole discretion that it is necessary to protect its own legal rights or those of others or to meet its own legal obligations.
7. Content from Users
“User Content” is any information or content that a user sends, uploads, shows, posts, or otherwise sends to or through the Website. You are the only one who is responsible for your User Content. You take on all the risks that come with using your User Content, such as other people relying on its accuracy, completeness, or usefulness, or your User Content being shared in a way that identifies you or someone else. You promise and guarantee that your User Content does not break the rules in Section 8 below. You can’t say or imply to other people that CalendarLite provides, sponsors, or supports your User Content in any way. You are the only one responsible for your User Content, so if it breaks the rules in Section 8 below, you could be held liable. You are not required to keep or back up any User Content with CalendarLite, and they can delete your User Content at any time without warning. If you want to, it’s up to you to make and keep your own backup copies of your User Content. You agree that CalendarLite will not be liable for any loss or damage that happens as a result of any interactions that involve User Content. We don’t have to get involved if there is a disagreement between you and another Website user.
8. Not Allowed Uses
You agree not to use the Website to collect, upload, transmit, display, or distribute any User Content (a) that violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (b) that is unlawful, harassing, abusive, tortious, threatening, harmful, invasive of another’s privacy, vulgar, defamatory, false, intentionally misleading, defamatory, pornographic, obscene, patently offensive, promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual or is otherwise objectionable; (c) that is harmful to minors in any way; or (d) that is in violation of any law, regulation, or obligations or restrictions imposed by any third party; or (e) that includes credit, debit or other payment card data, other personal financial account numbers, or identifiable health information about others.
In addition, you agree not to: (i) Transmit to the Website any computer viruses, worms, or any software intended to damage or alter a computer system or data; (ii) send through the Website unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of duplicative or unsolicited messages, whether commercial or otherwise; (iii) use the Website to harvest, collect, gather or assemble information or data regarding other users, including e-mail addresses, without their consent; (iv) interfere with, disrupt, or create an undue burden on servers or networks connected to the Website, or violate the regulations, policies or procedures of such networks; (v) attempt to gain unauthorized access to the Website (or to other computer systems or networks connected to or used together with the Website), whether through password mining or any other means; (vi) harass or interfere with any other user’s use and enjoyment of the Website; or (vii) use software or automated agents or scripts to produce multiple accounts on the Website, or to generate automated searches, requests, or queries to (or to strip, scrape, or mine data from) the Website.
We can review any User Content at our discretion, but we are not required to do so. If you break this Section 8 or any other part of these Terms, or if you otherwise make us or anyone else liable, we can investigate and take appropriate action against you. This could mean taking down or changing your User Content, ending your account according to Section 12, Term and Termination, and telling the police about you.
9. Comments
You can send us questions, comments, suggestions, ideas, original or creative materials, or any other information about CalendarLite or the Website (together, “Feedback“). CalendarLite will own all feedback, which is not private. You give CalendarLite all rights to this Feedback, and you agree that CalendarLite can use and share this Feedback and any related information in any way it sees fit. You agree not to send CalendarLite any information or ideas that you think are private or belong to you.
10. Websites and apps that are linked to each other
We haven’t looked at all the websites that link to the Website or the third-party apps or ads that can be found on the Website. We are not responsible for what is on any of those websites or apps. CalendarLite does not endorse any products, services, or information from other people or companies through the Website, including but not limited to links to other websites. If you choose to link to other websites, you do so at your own risk and should read and follow all the rules for those websites. CalendarLite can choose not to link to any website or third-party app at any time, or it can take the link down. CalendarLite does not own or run any of the third-party websites that are linked to. These links are only there for your convenience. We don’t have any control over these linked websites, and we don’t make any promises or guarantees about them. You are the only one responsible for what you see and do on third-party websites.
11. Indemnification
To the fullest extent allowed by law, you agree to defend, hold harmless, and indemnify CalendarLite, its subsidiaries, affiliates, business partners, licensors, service providers, and clients, as well as their officers, employees, agents, and representatives, from any claims, liabilities, costs, or damages, including reasonable attorneys’ fees and paralegal fees through final appeals, made by any third party that are related to or arise from your use of the Website, any User Content that you send to or through the Website, your violation of these Terms, or any other act or omission by you, including your violation of another person’s rights, that arise from your use of the Website. You also agree that CalendarLite will be in charge of defending or settling any claims made by third parties. This indemnity is in addition to, not instead of, any other indemnities that are spelled out in a written agreement that is legally binding between you and CalendarLite.
12. Term and Ending
These Terms will stay in effect as long as you use the Website, except as stated in this Section 12. We can stop or cancel your access to the Website (including your account) at any time and for any reason, including if you use the Website in a way that breaks these Terms. If you break these Terms, your account and right to access and use the Website will end right away. You know that if you close your account, we may delete your User Content from our live databases. CalendarLite will not be responsible to you in any way for ending your rights under these Terms, such as deleting your User Content or ending your account. If we decide to end these Terms, that does not mean that CalendarLite gives up any of its rights under this Agreement or the law.
13. Disclaimers
he information on or through the Website is only meant to be used for general information. We can’t promise that this information is correct, complete, or useful. You are solely responsible for any reliance you place on this information. We are not responsible for any problems that may come up because you or anyone else who visits the Website or hears about its contents relies on them.
THE WEBSITE IS PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS, AND CALENDARLITE (AND OUR SUPPLIERS) EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. NEITHER WE NOR OUR SUPPLIERS MAKE ANY WARRANTY THAT THE WEBSITE WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE.
CalendarLite hereby disclaims all warranties of any kind, whether express or implied, statutory, or otherwise, to the fullest extent permitted by law. This includes but is not limited to any warranties of fitness for a particular purpose, non-infringement, and merchantability.
The above does not affect any warranties that the law does not allow to be limited or excluded.
14. Limitations by location
The person who owns the website lives in the Indian state of Rajasthan. Some people or countries may not be able to legally access the Website. You are responsible for following the laws in your area if you access the Website from outside of India.
15. Law and Jurisdiction
The internal laws of India will govern and interpret all matters related to the Website and these Terms, as well as any dispute or claim that arises from them or is related to them (including non-contractual disputes or claims).
If you want to sue us for breaking these Terms or the Website, you can only do so in India. However, we can sue you for breaking these Terms in your home country or any other country that is relevant. You give up any and all objections to these courts having jurisdiction over you and to the venue in these courts.
